Provisions of the Bylaws shall not be in conflict wi= th the Founder’s Partnership Agreement.
To participate with members of the in-game-corporati= on: Online Gaming Masons [or OGM] in a fun and active environment of which EVE-Online game universe provides. Furthermore, as the founders of Online Gaming Masons are members in good standing of their respected Masonic Order= s and in continuing the Online Gaming Masons’ mission to promote fraternal cooperation through the online gaming communities; it is the will of the organization to promote brotherly fellowship.

§§Master CEO: = Must meet the CEO requirements. His role involves setting meeting dates and locations, appoints committees, presides over meetings, sees that the resolutions passed by the Partnership are carried out.
§Senior CEO: = Must meet the CEO requirements. His role involves taking the place of the Master= CEO when he is absent or incapacitated.
§Junior CEO: Must meet t= he CEO requirements. His role involves taking the place of the Senior CEO when= he is absent or incapacitated.
§CEO:= Must be a Master Mason and an OGM Member in good standing.
§OGM Member: Is not requ= ired to be a Master Mason, is an active player of the Eve-Online Universe, and h= as filed an application to join the OGM corporation, has been voted into the corporation, registered with the OGM forum (electronic message board), and signed a statement agreeing to abide by the Bylaws of the corporation. A me= mber is required to participate in OGM group activities as needed by the corporation.
§Roles of members:
= § Miner –“Rock Chewer” ̵= 1; is a member whom is dedicated to mining ore out of asteroids. The miner is = required to provide at least 3/4 of the ore they mine to the corporation during a corporate event.
= § Security Officer - Provides protection during mining expeditions, blockades, and any other group event. The Security Offi= cer is required to provide 3/4 of his or her salvage to the corporation while “ratting” during corporate events.
= § Hauler – is a member whom utilizes the= ir skills with industrial and transport ships to haul ore mined by the miners = back to the corporate offices and other items in need of transportation between systems.
§Obligations of members:= All members of OGM are required to participate in group activities as often as = they are able to. Any member found neglecting his or her obligation to the corporation will be considered for termination.
Nominations for officer positions (Master CEO, Senio= r CEO, and Junior CEO) will take place in September of each year during the Annual Meeting. If absence from the Annual Meeting is unavoidable, appropriate pro= xies may be submitted before the Annual Meeting to elect CEOs to serve in office= r positions.
A.&n= bsp; If a member of the Partnership does not fulf= ill duties required as described in Article III, or if a member’s conduct is unbecoming in the eyes of the corporation, that member will be notified in writing of the meeting at which removal from office will be discussed and v= oted upon. At that meeting, the member may present statements to the Partnership= in an effort to retain the position.
Removal will occur if so = voted by majority of the CEOs present at the meeting or voting by appropriate proxy.=
B.&n= bsp; Executive Authorization may be used to immediately remove any member of the corporation so long as there is a unanimous agreement vote among all active CEOs during a special or regular meeting. That member may or may not need be pres= ent during such meeting.
CEOs may invite guests to any meeting or group activ= ity of the Club which does not include special or regular business meetings.
CEOs will make a minimum monthly investment of 1/3 o= f ore or salvage at the regular monthly meetings or throughout daily game time. C= EOs may also make optional additional contributions in any increment(s). Regular monthly contributions normally collected at meetings are due prior to the scheduled meeting for any planned absence, or by the end of the third day a= fter the meeting from anyone who was unable to attend that monthly meeting due t= o an emergency or illness (unless the contributions were donated during daily ga= me time).
All other members will make a minimum monthly invest= ment of 1/25 of ore or salvage at the regular monthly meetings or throughout dai= ly game time. CEOs may also make optional additional contributions in any increment(s). Regular monthly contributions normally collected at meetings = are due prior to the scheduled meeting for any planned absence, or by the end of the third day after the meeting from anyone who was unable to attend that monthly meeting due to an emergency or illness (unless the contributions we= re donated during daily game time).
Each Partner will contribute 10 Million ISK yearly (= at the Club's anniversary month meeting) to cover administrative costs of the Club= .
New CEOs must pay a prorated amount of 10 Million IS= K yearly administrative costs at the time of joining.
§Transactions: &nbs= p;Major (20 Million ISK or more) buy or sell actions shall be made by majority vote= of the CEOs present at the meeting. Any vote for such transactions will be put= in the form of a motion after membership discussion at a regular meeting. Majo= r Transactions between meetings cannot be made by polling CEOs. If a vote is necessary pri= or to the regularly scheduled meeting, the Presiding CEO will call a special meeting of the membership.
§Valuation Statement:&nb= sp; The Financial CEO shall prepare a monthly statement of liquidation value, effec= tive the Monday before the regularly scheduled monthly meeting.
Eve-Online tracks transactions of players and corporations. At the end of each month the wallet data will be downloaded a= nd converted into a Microsoft Excel file for long term reference and made available by the Financial CEO to the members by the first meeting of each month.
